LEAD: The Enserch Corporation, based in Dallas, said it was delaying its previously announced shareholder-rights offering of its Pool Energy Service Company subsidiary to allow for talks with a potential buyer. The price of the offering was to have been set today. Under the tentative arrangements being discussed, Enserch said, the company would eliminate several contingent financial commitments required under the proposed public offering.

The division, a leading producer of polyester thermoset resins, had annual revenues of about $120 million in 1988.
