Racal Profit Doubles

Racal Electronics P.L.C., a British electronics and communications company, said yesterday that its pretax profit for the year that ended on March 31 more than doubled after its stake in the British national lottery proved to be a winning ticket. Racal said pretax profit rose to $:58.3 million, from $:26.4 million the year before, when earnings were depressed by a one-time charge of $:19.6 million.

KOHLBERG, KRAVIS AFFILIATE PLANS ACQUISITION

Kohlberg, Kravis, Roberts & Company said yesterday that an affiliate planned to buy a subsidiary of the Rockwell International Corporation for $475 million. The K-Tec Holdings Inc. unit of Kohlberg, Kravis, said it would acquire Reliance Comm/Tec, a provider of telecommunications equipment and services based in Cleveland. Rockwell, based in Seal Rock, Calif., took control of Reliance Comm/Tec when it bought the Reliance Electric Company for $1.6 billion last year. Kohlberg, Kravis is buying Reliance Comm/Tec because it sells its products to the so-called local loop, a rapidly growing part of the telecommunications industry. Some managers of Reliance Comm/Tec are participating in the acquisition.

AST RESEARCH RESTATES RESULTS FOR FISCAL YEAR

AST Research Inc. said yesterday that it had restated its results for the fourth quarter and the 1994 fiscal year to reflect a $33.6 million charge for its purchase of the personal computer manufacturing operations of the Tandy Corporation. AST, a personal computer maker based in Irvine, Calif., said it lost $8.1 million in the quarter that ended on July 2, 1994, instead of earning $14.1 million as previously stated. For the fiscal year, AST had revised net income of $31.3 million, down from $53.5 million. The charge reflects a readjustment in the value of some of the assets acquired from Tandy.

PLAYTEX SHAREHOLDERS APPROVE HAAS WHEAT FINANCING

Shareholders of Playtex Products Inc. approved a $180 million investment yesterday that would give control of the company to Haas Wheat & Harrison Investment Partners of Dallas. About 98 percent of the voting shareholders approved the Haas offer to buy 20 million shares of newly issued common stock at $9 each -- equal to a 40 percent stake. Playtex, based in Westport, Conn., generates 60 percent of its sales and more than two-thirds of its profits from its tampon business. The new chairman of Playtex, Robert Haas, said he intended to expand the company's other businesses, which include infant care, sun care and hair care products, through acquisitions and product line extensions. Shares of Playtex gained 37.5 cents, to $8.625, on the New York Stock Exchange.

BURLINGTON INDUSTRIES TO ELIMINATE 380 JOBS AT PLANT

Burlington Industries said yesterday that it would halt yarn production at its plant in Denton, N.C., in August, eliminating about 380 jobs. The company, based in Greensboro, N.C., said it had agreed to buy additional cotton and polycotton yarns for its knitted fabrics division from Parkdale Mills, which will purchase the yarn production equipment of the Denton plant. Terms of the agreement were not disclosed. The company said the Denton plant would continue as a knitting operation, with about 270 workers.

GLAMIS GOLD MAKES UNSOLICITED OFFER FOR ELDORADO

Glamis Gold Ltd. made an unsolicited offer yesterday of $134 million (Canadian), or $97 million (United States), for the Eldorado Corporation, a gold mining concern based in Bermuda. Glamis, based in Vancouver, British Columbia, is offering $1.20 (Canadian) in cash and four-tenths of a common share for each of the 22.6 million shares outstanding of Eldorado. The Glamis offer, which also includes Eldorado's debt and special warrants, values Eldorado shares at $5.85 (Canadian) each. Eldorado produces gold from a mine in Mexico while Glamis has gold mines in California. Eldorado shareholders approved a shareholder rights plan, or "poison pill," less than an hour before the takeover offer was announced, and Eldorado said in a statement that it had called a meeting of its board to consider the bid.

ARCSYS SHARES SOAR ON FIRST DAY OF TRADING

Shares of Arcsys Inc. rose sharply yesterday on the software maker's first day as a publicly traded company. Shares of Arcsys, which closed at $26.50 in Nasdaq trading, were priced at $13 by Morgan Stanley Group, the lead manager of the offering. Arcsys issued 2.4 million shares, and yesterday's trading volume was 3.4 million shares. Arcsys, based in Sunnyvale, Calif., develops and markets software used to design integrated circuits. A shortage of initial public offerings, combined with strong gains among high-technology issues, have made new companies like Arcsys attractive to investors.

VLSI TECHNOLOGY TO TAKE CHARGE FOR PATENT RULING

VLSI Technology Inc. said yesterday that it would take a pretax charge of $19.4 million in the second quarter to account for a recent judgment against the company for infringing a packaging patent of Texas Instruments Inc. A jury found that VLSI, an integrated circuit maker based in San Jose, Calif., was one of three companies that deliberately infringed patents by making semiconductor devices with a plastic packaging process developed by Texas Instruments. VLSI had been expected to earn 33 cents a share in the quarter that ends June 30. The company also filed a plan with the Securities and Exchange Commission yesterday to sell 2.5 million common shares. Shares of VLSI fell 68.75 cents, to $25.3125, in Nasdaq trading.

LILLY FILES PLAN FOR SWAP OF SHARES IN GUIDANT

Eli Lilly & Company said yesterday in a filing with the Securities and Exchange Commission that its shareholders would be given the chance to exchange some or all of their Lilly stock for common stock in the Guidant Corporation. Guidant, which includes Lilly's former medical device divisions, was formed in June 1994 after Lilly decided to leave the business to concentrate on its drug business. An initial public offering of about 20 percent of Guidant's common stock took place in December. The terms of the new transaction, known as a split-off, will be disclosed later. The split-off would complete Lilly's divestiture of Guidant.
