SYBASE BUYING NEW ERA OF NETWORKS

Sybase Inc., a maker of database software, agreed to buy New Era of Networks Inc. for about $373 million in stock to acquire New Era's programs for linking incompatible computer systems. Each common share of New Era, known as Neon, will be converted into 0.3878 share of Sybase common stock. That is about $9.50 a share, based on Sybase's closing price of $24.50 today. Neon shareholders would get a premium of about 37 percent; Neon stock last traded today at $6.94, up $1.19, before it was halted on Nasdaq. The shares have fallen about 91 percent in the last year. Sybase, based in Emeryville, Calif., said Neon would broaden its products aimed at doing business over the Internet. Sybase said that it expects the acquisition to be completed in the second quarter and to add to its earnings next year.
